Easypath reserves the right to refuse access to certain features of the Platform or all features and to restrict the processing and/or delivery of an Order if, in Easypath's reasonable opinion, there are suspicions of fraud by the User, if the User's behavior may harm the interests of Easypath or its affiliates, or if the User is abusing the Platform.

III. Accessing the Services
Immediate Execution Services
1.1 To benefit from services that require immediate execution, such as website creation, online store creation, website optimization, search engine optimization (SEO), you have the possibility to request an offer from Easypath.
1.2 To request an offer, in the dedicated section on the website for the services mentioned in paragraph 1 or in the header of the main page of the website, you have a request offer button ("Request Estimate" or "Request Offer") that you can select. You will then need to fill in all the requested information in the generated form in order to receive an offer and be contacted by Easypath. Additionally, for requesting an offer or any other information, you can contact the Company using the contact details provided in the website's contact section.
1.3 By submitting a request for an offer, you explicitly consent to the processing of the provided data for the purpose of being contacted by the Company, both by phone and via email.
1.4 After submitting a request for an offer, the User will be contacted by Easypath to present a price offer and negotiate the details of a potential contractual agreement.
Successive Execution Services
2.1 Successive execution services, such as website maintenance, online promotion, website hosting, are available in the form of a subscription of a minimum of 3 months and can be ordered online by placing an order on the website in the sections dedicated to presenting these types of services.
2.2 The User can place orders through the Platform, exclusively by prior registration of an Account, by selecting and adding the desired service package to the shopping cart.
2.3 The User will register an Account in the dedicated section of the Platform. By registering an Account, the User will efficiently manage the Orders placed on the Platform, with the possibility to view information about previous Orders, invoices, etc. Account registration can be done by providing an email address and a corresponding password or by logging in with various social networks (including but not limited to Facebook, LinkedIn, Google, etc.). Easypath reserves the right to validate Orders before fulfilling them by contacting Customers by phone or email, and Customers expressly declare their acceptance of this right of the Company.
2.4. Adding a Service to the shopping cart without completing the Order does not register an Order.
2.5. By completing the Order, the User confirms that all the provided data is correct, complete, and true at the time of placing the Order. By placing an Order, the User explicitly acknowledges that the respective Order entails their firm obligation to pay the "total payment amount" indicated.
2.6. All Orders will be paid in advance for the selected time period at the time of placing the order. By placing the order, the User agrees to the automatic extension of the subscription and the recurring payment operation associated with the subscription.
2.7. The Order and subscription are paid through the payment processor MobilPay (Netopia). Recurring payments are automatically processed from the User's card in advance at the beginning of the service provision period. The User expresses their consent to this when placing the first order and activating the subscription.
2.8. The Order will be considered completed upon the User's full payment of the price of the Products in the Order, through one of the payment methods accepted by the Provider for each type of service, as expressly indicated on the Platform and can be consulted by the User no later than the beginning of the Order placement process.
2.9. If the payment for the subscription/subscription is not confirmed, Easypath reserves the right to suspend services to the User until the subscription is reactivated and the subscription payment is confirmed by the payment processor.
2.10. The Order is accepted, and the Contract is deemed concluded between the Provider and the User at the moment the User receives from the Provider, via email and/or SMS, a notification regarding the successful payment of the Services.
2.11. By creating an Account and, where applicable, completing the Order, the User consents that the Provider may contact them through any available means, including automated systems, fax, and email, in any situation where contacting the User is necessary for the execution of the Contract. Both these terms and conditions and any subsequent agreements between the User and the Provider regarding an Order are part of the Contract.
2.12. The Provider may cancel the Order placed by the User, with simultaneous or subsequent notification to the User, and such cancellation shall not incur any liability of Easypath towards the User, in the following cases:
- non-acceptance of the Transaction by the User's card issuing bank, in the case of online payment;
- invalidation of the Transaction by the card processor approved by Easypath, in the case of online payment;
- the data provided by the User when accessing the Platform is incomplete or incorrect;
- the Provider reasonably believes that by accessing the Platform and placing the Order, the User pursues an illicit purpose or may cause any kind of harm to Easypath or its affiliates;
- any of the terms and conditions in this document have not been strictly complied with.
2.13. The User has the possibility to manage their subscription from the customer account and can cancel it at any time without affecting any advance payments made. A payment made is non-refundable even if the User cancels the subscription before the covered period expires.
IV. Prices / Invoices / Payments
The prices of Services with ongoing execution displayed on the Platform are stated in Euros and are subject to VAT according to the applicable legislation. The prices valid for Services are calculated and invoiced based on the official exchange rate of the National Bank of Romania on the day of placing the order +2%.
Customers who have an active subscription that includes web development (TREE HOUSE, CABANA, RESORT, or AMAZON) benefit from a preferential price for web and graphic development services (debugging, content insertion/modification, creation of new pages, design modifications, etc.) of 30 EUR + VAT / hour.
The price of the Services is established as a subscription (monthly, quarterly, semi-annually, or annually), which automatically renews for the same period until the User exercises their right to cancel the subscription. Additionally, the User has the option of making advance payments for the subscription, in which case they may negotiate a discount from Easypath.
Easypath may update the prices of Services at any time, and such an update will replace any previously displayed prices for the respective Services. However, for Users with an ongoing subscription, such price changes will not affect the period for which a prepayment has been made.
The Provider will issue an invoice to the User for the delivered Services, and it is the User's obligation to provide all the necessary information according to the applicable legislation for the issuance of the invoice by the Provider. The User will have the possibility to view and download the invoice for the purchased Services from their personal account created on the Platform.
The User will make the payment for the ordered services in advance for the selected period of time at the time of placing the order, through the payment processor MobilPay (Netopia).
If the subscription is not canceled before the expiration of the invoiced period, the User explicitly declares their agreement with the recurring payment, authorizing Easypath Software to automatically charge the subscription price directly from the card used for the first order. The recurring payment will occur on the expiration date of the previously invoiced period and will be made in advance for the same initially selected period of time.
In the case of online payments, the Provider is not and cannot be held responsible for any additional costs incurred by the User in addition to the price of the purchased Service, including but not limited to transfer or currency conversion fees applied by the User's card issuing bank if the card's currency of issue differs from the currency in which the sale is made.
The Provider is not responsible for any erroneous processing of payments or errors recorded through the payment system, including but not limited to the losses you may incur using the card payment system.
V. User's Right of Withdrawal and Subscription Cancellation
easypath.io is a service website, available on the website at the time of enrollment, and according to art. 16 lit. a) of Government Emergency Ordinance no. 34/2014, as updated, contracts for the provision of services are exempted from the right of withdrawal after the complete provision of services, if the execution has begun with the prior express consent of the consumer (individual) and after the consumer has confirmed that they are aware that they will lose their right of withdrawal after the complete execution of the contract by the professional. The Customer declares that they understand and acknowledge that after the complete execution of the contract, they do not have the right of withdrawal according to art. 16 lit. a) of Government Emergency Ordinance no. 34/2014, as the provided services are exempted from the right of withdrawal. The provisions of Government Emergency Ordinance no. 34/2014 do not apply to corporate clients.
This fact does not affect your right to choose to cancel the purchased subscription at any time without prior notice; however, Easypath Software will have no obligation to refund the price for the remaining invoiced period. To cancel the subscription, you will need to access your personal account on the Platform and follow the cancellation instructions.
However, canceling the subscription before the minimum term of 3 months is subject to the User's obligation to pay a termination fee, as follows:
- For 3-month subscriptions, the termination fee is equal to the difference up to the full value of the subscription price.
- For contracts of 6 months or longer, the termination fee is equal to 50% of the full value of the subscription price.
VI. Advertising
The Customer can give their consent to receive commercial communications via electronic mail, allowing the Provider and its collaborators to send such communications by selecting the specific option at the end of these terms and conditions.
The Customer can revoke their consent regarding such commercial communications at any time by:
- Sending a written request to Easypath at the email address provided in the "Contact" section of the Platform; in this case, the revocation will take effect within a maximum of 48 (forty-eight) hours from the initiation of the procedure.
- Opting out of receiving Newsletters at any time by accessing the dedicated link found in any Newsletter.
- Checking the option to withdraw consent in the dedicated section on the Platform.
This procedure will be mentioned in all commercial communications sent by the Provider to the Customers.
Easypath's Newsletters are transmitted through specialized and approved partners of Easypath.
The Customer's waiver of receiving Newsletters does not imply waiving the acceptance given for the remaining terms and conditions regarding online sales conducted by Easypath.
VII. Liability
The Provider shall not be liable for any damages caused to the User or any third party as a result of the Provider's fulfillment of its obligations under the Order, nor for damages arising from the improper use of the services provided.
The Provider cannot, under any circumstances, be held responsible for any loss of use, contracts, data, goodwill, revenue, or profits (whether considered direct claims or not) or any subsequent, special, indirect, incidental, punitive, or exemplary loss, damage, or expense arising out of or in connection with this Agreement or its Services.
The User shall keep their username and password associated with the Account safe, being solely responsible in case of fraudulent use by a third party. The User is responsible for checking the final version of the Terms and Conditions, Privacy Policy, and Cookie Policy whenever they use the website.
The Provider does not guarantee the continuous and uninterrupted use of the website. Errors, defects, viruses, or other harmful behaviors may occur on the site or servers that may render it unavailable. The Provider will take all measures to limit and remove such unpleasant events as quickly as possible. The User has no right to interfere with the operation of the website or take any action to intervene in the computer equipment, regardless of the reason or the result obtained.
VIII. Complaints & Claims
For complaints or claims related to the purchased Service, the User has access to the complaint form available on the Platform.
The User can make complaints regarding Orders, which will be sent to the email address mentioned in the "Contact" section of the Platform. Complaints received in this manner will be resolved by the Provider within a maximum of 30 (thirty) calendar days from their receipt.
IX. Use and Processing of Personal Data of Individuals
By using the Platform, the User understands and agrees to transmit personal data to Easypath, which will be subject to processing in accordance with and for the purposes set out in the Privacy Policy and Cookie Policy, which complement these Terms and Conditions.
X. Confidentiality
Both the Provider and the User undertake and guarantee to maintain the confidentiality of Confidential Information, to prevent its disclosure to third parties, and not to use it for purposes other than those envisaged by this Agreement, except as previously authorized in writing by the Provider/User and subject to the terms and conditions imposed thereby.
XI. Force Majeure
Neither the Provider nor the User shall be liable for the non-performance of its contractual obligations if such non-performance, in whole or in part, is due to a force majeure event as defined by Romanian civil law.
If within 15 (fifteen) days from the occurrence of the force majeure event, the event does not cease, either the Provider or the User shall have the right to notify the other party of the automatic termination of the Agreement, without either party being able to claim damages from the other.
XII. Applicable Law and Dispute Resolution
This Agreement is subject to Romanian law.
Easypath and the User will attempt to resolve any disputes or misunderstandings amicably. To the extent that an amicable resolution is not possible, the disputes will be settled by the competent Romanian courts at the Provider's registered office.
